Article 4 – Product Information

ZEN RAD takes the utmost care in presenting the products it sells.

Photographs, illustrations, technical notices, descriptive sheets, and videos are provided for informational purposes only and are not contractual.

Colors may vary depending on the screens used.

Dimensions, weights, technical characteristics, and performance are those communicated by the manufacturers or observed during checks carried out by ZEN RAD.

The Client remains responsible for checking the compatibility of the product with their installation, vehicle, equipment, or device before placing any order.

In case of doubt, the Client is invited to contact the sales department before any purchase.

Article 5 – Refurbished products

Refurbished products sold by ZEN RAD are fully checked before shipment.

They may show:

  • superficial scratches;
  • traces of use;
  • normal aesthetic wear and tear;
  • packaging different from the original.

These elements do not affect their proper functioning and do not constitute a lack of conformity.

Each reconditioned product is sold with its condition specified when particular information needs to be brought to the Customer's attention.

Article 6 – Spare Parts

Spare parts are intended for maintenance or repair operations.

Before placing any order, it is the Customer's responsibility to check:

  • the manufacturer's reference;
  • the dimensions;
  • the technical characteristics;
  • compatibility with their equipment.

ZEN RAD cannot be held responsible for any diagnostic, identification or compatibility error made by the Customer.

In the event of an accepted commercial return of a spare part ordered by mistake, the refund may be made exclusively in the form of a credit note, unless the law requires another method of refund.

The legal guarantees of conformity as well as the guarantee against hidden defects remain fully applicable.

Article 7 – Customer Account

The Customer can order with or without creating an account.

When creating an account, they undertake to provide accurate, complete and up-to-date information.

The Customer is solely responsible for the confidentiality of their login credentials.

Any order placed from their account is deemed to have been made by them, unless proven otherwise.

ZEN RAD reserves the right to suspend or delete an account in the event of:

  • fraud or suspicion of fraud;
  • abusive use of the services offered;
  • attempted fraud;
  • behavior detrimental to the proper functioning of the Website or the interests of the company.

The deletion of an account does not affect orders already validated.

Article 8 – Order

8.1 Placing an order

Orders are placed exclusively on the website www.zenelec.fr.

To place an order, the Customer selects the desired Products, adds them to their cart, and then follows the different steps of the ordering process.

Before final validation, the Customer can check:

  • the details of the Products ordered;
  • the quantities;
  • the prices;
  • delivery fees;
  • the delivery address;
  • the chosen payment method.

Validation of the order constitutes full and complete acceptance of these General Terms and Conditions of Sale.

An order confirmation is sent to the Customer by e-mail to the address provided during the order.

The sale is definitively concluded only after validation of payment by the banking organizations or payment providers used by ZEN RAD.

8.2 Accuracy of information

The Customer guarantees the accuracy of the information provided when placing their order.

ZEN RAD cannot be held responsible for the consequences resulting from:

  • an error in the delivery address;
  • an error in the email address;
  • an incorrect phone number;
  • incomplete or inaccurate information.

Any re-shipping costs will be borne by the Customer.

8.3 Order refusal

ZEN RAD reserves the right to refuse or cancel any order, particularly in the following cases:

  • fraud or suspected fraud;
  • abusive use of the services offered;
  • total or partial non-payment of a previous order;
  • existing dispute with the Customer;
  • obviously incorrect contact details;
  • order that appears abnormal or incompatible with usual personal or professional use;
  • obvious price or description error resulting from a technical malfunction.

If an already paid order is cancelled, the refund will be processed as soon as possible using the payment method originally used.

Article 9 – Product Availability

Products are offered subject to stock availability.

Despite careful stock management, a Product may exceptionally become unavailable after the order has been confirmed.

In such a situation, ZEN RAD will inform the Customer as soon as possible.

The Customer may then choose to:

  • accept an extended delivery time;
  • accept an equivalent Product;
  • request the cancellation of the order concerned and its refund.

The supply times indicated on the Website are indicative and may vary depending on manufacturers, suppliers, or carriers.

ZEN RAD cannot be held responsible for delays beyond its control.

Article 10 – Price

Prices are indicated in euros (€).

Unless otherwise stated, they are expressed inclusive of all taxes (TTC) for sales within the European Union.

Delivery costs are indicated before final order confirmation.

For deliveries outside the European Union, customs duties, local taxes, or import fees may be required by the authorities of the destination country. These costs remain exclusively the responsibility of the Customer.

ZEN RAD reserves the right to modify its prices at any time.

However, Products will be invoiced based on the rate in effect at the time of order confirmation.

In the event of an obvious pricing error resulting from a computer malfunction or an obvious material error, ZEN RAD may cancel the order after informing the Customer and proceed with the refund of any amounts already collected.

Article 11 – Payment

Payment is due immediately upon order confirmation.

The payment methods offered on the Website include:

  • Bank card (Visa, Mastercard, and compatible cards);
  • PayPal;
  • Shop Pay;
  • any other payment method offered by Shopify at the time of order.

Payments are secured by payment providers selected by Shopify.

ZEN RAD never has access to the Customer's full bank details.

The order will only be prepared after effective payment confirmation.

11.1 Payment Security

ZEN RAD implements all reasonable measures to ensure the security of transactions.

However, the Customer acknowledges that payments are made by specialized service providers and that ZEN RAD cannot be held responsible for any malfunction attributable to them.

11.2 Fraud Prevention

To combat fraud, ZEN RAD may request any document allowing verification of:

  • the Customer's identity;
  • the delivery address;
  • ownership of the payment method used.

If the requested supporting documents are not received within a reasonable time, the order may be cancelled.

Article 12 – Invoicing

An invoice is issued for each order.

It is made available to the Customer in electronic format and can be sent by email.

The Customer is advised to keep their invoice, which may be requested for warranty claims or after-sales service.

Professionals are responsible for providing the necessary information for their invoice, including their intra-community VAT number, where applicable.

Article 13 – Retention of Title

Products remain the exclusive property of ZEN RAD until full payment of their price, costs, and ancillary charges.

However, the risks of loss, theft or deterioration are transferred to the Customer upon delivery of the Product, in accordance with the provisions set out in these General Terms and Conditions of Sale.

Article 14 – Delivery

14.1 Delivery area

ZEN RAD ships its Products from France.

Deliveries are made in mainland France, in overseas departments and regions where technically possible, as well as in the countries offered when validating the order.

Some destinations may be temporarily unavailable due to logistical, regulatory or customs constraints.

14.2 Carriers

Orders are shipped by the carrier deemed most suitable depending on the nature, weight, volume and destination of the Products.

ZEN RAD uses, in particular:

  • Colissimo (La Poste);
  • Chronopost;
  • Kuehne + Nagel Road for bulky or palletized goods;
  • or any other carrier offering equivalent guarantees.

The choice of carrier rests exclusively with ZEN RAD, unless a specific agreement has been concluded with the Customer.

14.3 Preparation times

Orders are prepared once payment has been effectively validated.

Preparation times are indicated on the Website when known.

These times are indicative and may vary, particularly during periods of high activity, holidays, inventory or supply difficulties.

14.4 Delivery times

Delivery times communicated during the order are indicative.

They depend notably on:

  • the carrier;
  • the destination;
  • weather conditions;
  • customs formalities;
  • periods of high activity.

ZEN RAD cannot be held responsible for a delay attributable to the carrier or to an event beyond its control.

In accordance with the Consumer Code, if delivery does not occur within a reasonable time after formal notice to the Seller, the Customer benefits from the rights provided for by the applicable legal provisions.

14.5 Partial delivery

When certain Products from the same order are temporarily unavailable, ZEN RAD may proceed with a partial delivery.

The Customer will be informed when possible.

No additional charges will be billed to the Customer due to this split delivery, unless expressly agreed by the Customer.

14.6 Receipt of the order

Upon receipt of the package, the Customer is required to check:

  • the external condition of the package;
  • the number of packages received;
  • the absence of apparent damage;
  • the conformity of the delivered Products.

Any apparent anomaly (open, crushed, pierced, wet package, missing or damaged product) must be reported immediately to the carrier and to ZEN RAD as soon as possible.

The Customer is advised to keep the original packaging until the dispute is resolved.

The absence of reservations upon delivery does not, however, deprive the Customer of his rights under the legal guarantees.

14.7 Refused or unclaimed packages

When a package is returned to ZEN RAD due to:

  • an incomplete or incorrect address;
  • an unjustified refusal by the Customer;
  • a failure to collect within the allotted time;
  • an inability to deliver attributable to the Customer,

the return costs invoiced by the carrier as well as any re-shipping costs may be charged to the Customer.

In the event of cancellation of the order after return of the package, ZEN RAD may deduct from the refund the costs actually incurred for shipping, return and associated administrative costs, in compliance with the applicable legal provisions.

14.8 Bulky products

Goods shipped on pallets or by specialized transport require an appointment with the carrier.

The Customer agrees to be present or represented on the agreed date.

In the event of absence, costs related to a new presentation or storage may be charged to the Customer if these are attributable to their actions.

The Customer must check that access conditions allow for Product delivery (dimensions of access points, elevator, access road, etc.).

ZEN RAD cannot be held responsible for an inability to deliver resulting from the characteristics of the premises.

14.9 Transfer of risks

The risks of loss, theft or deterioration of the Products are transferred to the Customer at the moment they, or a third party designated by them, physically take possession of the Products.

When the Customer themselves commissions a carrier other than the one proposed by ZEN RAD, the transfer of risks occurs upon delivery of the Products to said carrier.

14.10 International shipments

For any delivery outside the European Union, the Customer is considered the importer of the Products.

It is their responsibility to pay, where applicable:

  • customs duties;
  • local taxes;
  • the VAT applicable in the destination country;
  • customs clearance fees;
  • any other tax or fee required by the competent authorities.

ZEN RAD cannot be held responsible for delays or blockages resulting from customs formalities.

In the event of the package being refused by customs authorities or by the Customer due to non-payment of import taxes, the costs actually incurred by ZEN RAD may be deducted from the refund, in accordance with current regulations.

14.11 Force majeure affecting delivery

ZEN RAD cannot be held responsible for a delay or impossibility of delivery resulting notably from:

  • a natural disaster;
  • a fire;
  • a flood;
  • a social conflict;
  • a pandemic;
  • a war;
  • an act of public authorities;
  • an exceptional shortage;
  • a major failure of a carrier or supplier;
  • or any other event presenting the characteristics of force majeure within the meaning of Article 1218 of the Civil Code.

In such a situation, ZEN RAD's obligations are suspended for the duration of the event, and no compensation can be claimed solely on this basis.

Article 15 – International Orders, Customs and Taxes

Products are shipped from France or from any logistics warehouse mandated by ZEN RAD.

For any delivery outside the European Union, customs duties, import taxes, handling fees or other local taxes may be required by the authorities of the destination country. These costs remain exclusively the responsibility of the Customer, unless otherwise stated during the order.

In the event of refusal to pay these fees leading to the return of the package to ZEN RAD, the costs actually incurred for return, transport, storage, or customs formalities may be deducted from the refund, in compliance with applicable regulations.

Article 16 – Liability

ZEN RAD is responsible for the proper execution of the obligations arising from the contract concluded with the Customer, in accordance with applicable legal provisions.

However, ZEN RAD's liability cannot be engaged when the non-execution or improper execution of the contract is attributable to:

  • the Customer;
  • an unforeseeable and insurmountable act of a third party;
  • a case of force majeure.

The Customer is solely responsible for:

  • the choice of Product;
  • checking its compatibility with their equipment;
  • its installation;
  • its use;
  • its maintenance.

ZEN RAD cannot be held responsible for damages resulting from non-compliant use, incorrect assembly, diagnostic error, improper installation, or non-compliance with manufacturer's recommendations.

No provision of these GTC limits the legal guarantees from which the Customer benefits.

Article 17 – Force Majeure

In accordance with Article 1218 of the Civil Code, neither Party may be held responsible for the non-execution of its obligations when it results from an event of force majeure.

Cases of force majeure notably include:

  • natural disasters;
  • fires;
  • floods;
  • social conflicts;
  • war;
  • acts of public authorities;
  • pandemic;
  • exceptional shortage;
  • interruption of transport or communication networks;
  • failure of a supplier or carrier resulting from a force majeure event.

The Party concerned shall inform the other Party as soon as possible.

Obligations shall be suspended for the entire duration of the event.

If this event extends beyond a reasonable period and definitively prevents the performance of the contract, the contract may be terminated in accordance with legal provisions.

Article 18 – Intellectual Property

All elements present on the www.zenelec.fr website, including texts, photographs, illustrations, videos, logos, trademarks, graphics, software, databases, and content, are protected by the provisions of the Intellectual Property Code.

Article 20 – Consumer Mediation

In case of a complaint, the Client is invited to contact customer service first at the following address:

allan.h@zen-rad.com

In accordance with the provisions of the Consumer Code, the consumer Client may have free recourse to a consumer mediator after having sent a written complaint to the Seller and in the absence of a satisfactory solution.

The consumer mediator will be communicated as soon as ZEN RAD joins an approved organization.

Article 21 – Retention of Contracts

In accordance with applicable regulations, ZEN RAD ensures the retention of contracts concluded electronically when legal conditions require it.

The Client may obtain communication of the retained information by sending their request to customer service.

Article 22 – Partial Nullity

If one or more stipulations of these GTC were declared null or unenforceable, the other provisions would retain their full validity.

Article 23 – Waiver

The fact that one of the Parties does not invoke a provision of these GTC shall not be interpreted as a waiver to invoke it later.

Article 24 – Headings

The headings of the articles are provided solely for ease of reading these GTC and shall not alter their interpretation.

Article 25 – Applicable Law and Jurisdiction

These General Terms and Conditions of Sale are governed by French law.

In case of dispute, the Parties shall first seek an amicable solution.

Failing an amicable agreement, the dispute will be brought before the competent courts in accordance with the applicable legal provisions.

Consumers benefit from the rules of jurisdiction provided by the Consumer Code.

The French version of these General Terms and Conditions of Sale shall prevail.
